SUMMARY

The Director of Legal Affairs is responsible for leading strategic and tactical legal initiatives. The Director of Legal Affairs provides senior management with effective advice on company strategies and their implementation, manages the legal function, and obtains and oversees the work of outside counsel in the insurance defense and employment areas. The Director of Legal Affairs is directly involved in complex transactions in negotiating and drafting critical contracts.

KEY RESPONSIBILITIES:

1. Participates in the definition and development of policies, procedures and programs and provides continuing counsel and guidance on legal matters and on legal implications of all matters.
2. Independently handles legal matters and projects ranging from basic to complex.
3. Serves as key lawyer/legal advisor on all major transactions, including acquisitions and joint ventures.
4. Provides legal advice and guidance to the executive/senior management on a wide variety of legal issues involving government, contract, labor & employment, litigation and transactional matters.
5. Judges the merits of major court cases filed against or on behalf of the Fair Authority, works with the appropriate legal counsel appointed by the Authority's insurance team to define a strategic defense and approves settlements of disputes where warranted. Responsible for responding to discovery requests. Acts as corporate representative in depositions. Attends mediations. Prepares litigation summary to assist the Executive Director in monitoring all aspects of FSFA issues.
6. Assumes ultimate responsibility for ensuring that the Fair Authority conducts its business in compliance with applicable laws and regulations.
7. Devises and implements legal strategies and best practices to minimize operational risk exposure.
8. Structures and manages the company's internal legal function.
9. Develops and interprets organizational policies/procedures, including employment policies, and ensures compliance with the same.
10. Responsible for negotiating, writing, reviewing, summarizing, researching and executing a wide variety of agreements, including marketing agreements, entertainment agreements, license agreements, real estate leases, confidentiality agreements, and other general business contracts
11. Negotiation and preparation of design and construction contracts; contract administration, including but not limited to attendance at pre-construction meetings, review of claims and negotiation of settlements, tax, zoning, and permitting issue resolution, and monitoring projects to completion
12. Advises the Executive Director and other Directors and works alongside employees in other departments, where legal input is necessitated.
13. Responsible for assisting Human Resources department in the management and handling of all labor and employment related matters. Manages all labor related legal matters and generally assists the FSFA in all other employment related matters, including the development and interpretation of FSFA related policies and programs related to employees. The attorney will also advise and assist with FSFA-wide policies relating to employee benefits.
14. Provides in-house legal counsel on employment related matters, which may include, but not limited to, human resources issues, wage and hour law, workers' compensation, unemployment and other state agency claims, labor relations, employee benefits, employment agreements and policy related issues, FMLA matters and employment related litigation., Provides oversight of internal investigation of employment-related claims including claims of sexual harassment, discrimination or other prohibited conduct.
15. Drafts and prepares RFPs, ITNs, and ITBs and related documents; reviews and analyzes submitted bids in response to the same.
16. Manages the Company's legal activities in order to protect the Company's best interests.
17. Advises Executive Director on contract status, legal risks and business terms of various business transactions.
18. Researches unique legal issues impacting the organization by identifying applicable statutes, judicial decisions, and codes.
19. Performs pre-litigation work to minimize risks and maximize legal rights.
20. Keeps abreast of legislative changes that may affect the Fair Authority.
21. Develops solutions to complex legal questions.
22. Responsible for responding to public records requests by timely responses to request, estimates of cost, and communicating with department directors for requested information. Responsible for the processes related to the searching of records as well as the gathering, preparing, redacting, and copying or scanning of requested documents.
23. Responsible for ensuring proper maintenance of historical files, licenses, permits, registrations, deeds, etc.

Requirements: 

QUALIFICATIONS/EDUCATION/CERTIFICATIONS:

Law degree. Admitted to the Florida Bar. Minimum of ten years' experience in a law firm environment. Experience working on matters of Florida special district governance and with a governing board. Experience managing other attorneys and supervising support staff; experience with cost-effective management of outside resources.

KNOWLEDGE, SKILLS AND ABILITIES:

-Knowledge and experience in a broad range of issues including Florida's government in the sunshine and public records laws, real estate, contracts, licenses/leases, covenants, and federal and state grants and programs.
-Ability to maintain work relationships and communicate effectively with Fair Authority management, Board, Department of Agriculture management, and the public.
-Highly developed legal writing skills.
-Ability to present ideas and programs both orally and in writing essential.
-Ability to respond effectively to highly sensitive inquiries or complaints.
-Must be self-directed with ability to work independently without direction.

PHYSICAL DEMANDS/WORKING CONDITIONS:

While performing the duties of the position, the employee will work in an office environment which is well-lit and air conditioned. The employee is regularly required to sit, stand and walk for extended periods of time throughout the course of daily activities. The employee is required to work on a computer, in addition to doing paper work. Duties are performed primarily in an office setting. Operates computer and standard office equipment, such as telephone and copier/printer.

Position involves encounters with employees, vendors, subcontractors and members of the public. The employee must be sensitive and responsive to the needs of management and the employees. There is stress associated with responding to/solving problems of employees. The position requires the exercise of discretion and independent judgment, as well as a creative approach to formulating responses and making recommendations regarding changes in company policy and/or procedures, as required. Operations are dynamic and situations may require immediate attention. This position has high exposure and requires a professional approach and demeanor under all conditions. It also requires a genuine willingness to assist persons with a wide range of requests and needs, including individuals with disabilities.
