Overview of the Position:

Your role as a Senior Corporate Paralegal on the Rose Law Firm team is (1) to provide high-level substantive paralegal services and support for the firm's attorneys and clients on our corporate, commercial transactions, business transitions, M&A matters, and occasionally on business litigation matters; (2) to assist the firm with all levels of client case/matter management (both substantive and non-substantive); and (3) to assist the firm's management team in providing administrative leadership to enhance the efficiency of the firm's systems and processes for the firm's practice as a whole.

The right person for our Senior Corporate Paralegal position will have significant prior law firm experience and will also be a quick and eager learner who is looking for a long-term position with a close-knit team. This role requires self-motivation, ownership mentality, strong communication, independent judgement, and excellent client-relationship skills.

Responsibilities:
• Assist up to 7 attorneys with client, case, matter, and project management, including drafting and sending engagement and conflict waiver letters, managing document organization of client file in both physical and electronic form, managing/docketing deadlines, and anything else to help the attorneys keep all files at the firm moving forward smoothly.
• Produce, edit, and format legal documents such as transactional agreements, memos, pleadings, discovery requests, research outlines, briefs, opinions, complaints, orders, and subpoenas; compose routine letters and memoranda.
• Assist with entity formation and perform corporate organizational tasks including filing organization documents, prepare transactional closing binders, prepare and maintain company minute books, and prepare and file annual reports or amendments to articles of incorporation.
• Draft documents for board meetings, including notices, proxies, affidavits of mailing, agenda, resolutions, ballots, oaths, minutes (including special minutes for corporate activities), and written consents.
• Prepare/format corporate documents and effect filing with offices of the Secretary of State.
• Manage and perform due diligence, including UCC searches, filings, and good standing certifications.
• Coordinate with title companies, gather TRIOs, file deeds, etc., on matters dealing with real estate.
• Conduct legal research, including relevant case law, relevant statutes, legal articles, and other writings.
• Prepare/maintain pleading logs, discovery logs, trial notebooks, closing binders, and entity binders.
• Electronically file documents in Washington, Oregon, and federal court systems (including circuit courts, appellate courts, and bankruptcy courts).
• Assemble documents for signature and review documents for proper execution when returned.
• Maintain docketing calendar and tickler system for annual reports, regular and annual meetings, UCC and IRS filings, court deadlines, and monitor compliance.
• Complete basic clerical tasks, including data entry; photocopy/scan/fax; organize firm library books.
• Perform any other task required to assist the law firm function effectively.
Qualifications:
• 10+ years' experience at a law firm; experience in corporate law, commercial transactions, M&A, etc. required.
• Experience in commercial and/or business litigation, debtor/creditor, appeals, bankruptcy, foreclosure, real estate, collections, and/or civil litigation expertise preferred
• Bachelor's degree or paralegal certificate from an accredited institution preferred.
• High level of experience in Windows OS, Microsoft Office, Adobe Acrobat Pro, and basic database and case management systems required.
• Experience with filing documents in Washington, Oregon, and federal courts (including circuit courts, appellate courts, and bankruptcy courts) and understanding of court-required rules.
• Strong sense of ownership.
• Flexibility and ability to balance multiple tasks and competing priorities accurately and efficiently.
• Works well under pressure and has a high level of attention to detail.
• Demonstrate integrity, strong client-relationship skills, the ability to use judgement, tact, discretion, and keep information confidential.
